1. Agreement to These Terms

These Terms of Service ("Terms") govern your access to and use of Kewline — a unified business messaging inbox for WhatsApp Business, Facebook Messenger, and Instagram Direct — operated by Kewsign LLC, a limited liability company registered in Montana, USA ("Kewsign LLC", "we", "us", or "our"). The subscribing business (or individual) that registers a Kewline account is the "Customer", and together we are the "Parties".

By creating a Kewline account, connecting a messaging channel, or using the application, you agree to these Terms on behalf of the Customer, and you confirm you are authorized to bind the Customer (including its Meta Business portfolio). If you do not agree, do not use Kewline.

2. What Kewline Is

Kewline is business software that helps businesses manage customer conversations. It lets a Customer connect messaging channels it owns or controls — WhatsApp Business Accounts, Facebook Pages, and Instagram Professional Accounts — and manage those conversations in a single inbox with team collaboration features such as assignment, labeling, notes, and notifications.

Kewline is an independent technology provider and is not affiliated with, endorsed by, or acting on behalf of Meta Platforms, Inc. Access to the messaging channels is provided via Meta's developer platforms (including the WhatsApp Business Platform with Embedded Signup, the Messenger Platform, and the Instagram Graph API).

3. Account Registration & Connected Channels

3.1 Eligibility

You must be at least 18 years old and able to form a binding contract. Business accounts must be registered to a legal entity or an individual proprietor, and you must comply with Meta's requirements, including holding a verified Meta Business Account where applicable.

3.2 Connection Through Embedded Signup

When connecting channels, the Customer grants Kewline the permissions shown in Meta's authorization flow. The Customer may revoke these permissions at any time — which will immediately stop Kewline's access to that channel — and doing so does not affect the platforms themselves. Disconnecting or closing account data is governed by our Privacy Policy and Data Deletion page.

3.3 Customer Responsibility for Channels

The Customer warrants that it owns or is properly authorized to manage every channel it connects, and that its use of each channel complies with that platform's terms in force, including:

  • Meta Platform Terms and Community Standards
  • WhatsApp Business Solution Terms and the WhatsApp Business Messaging Policy
  • The WhatsApp Business Terms of Service between the Customer and Meta
  • Messenger Platform policies and Instagram Platform policies

Important: Meta can independently restrict, suspend, or terminate a Customer's WhatsApp Business Account, Page, or Instagram account for policy violations. Kewline cannot prevent, reinstate, or contest enforcement actions taken by Meta, and is not liable for any loss of access to a platform.

4. Acceptable Use

The Customer agrees not to use Kewline, and not to allow its team members or integrated tools to use Kewline, to:

  • Send unsolicited bulk messages (spam), harassment, or abusive content
  • Break applicable laws, sanctions, or industry regulations in any market where it operates
  • Collect, repurpose, or resell platform data outside the scope of the service
  • Attempt to access other customers' data, disrupt the service, or reverse engineer systems
  • Misrepresent Kewline as an official service of Meta or any platform
  • Use optional integrations (including AI features) in violation of the applicable provider's usage policies

Kewline may suspend or terminate accounts engaged in these behaviors, with notice where practicable.

5. Availability and Third-Party Dependence

We aim for high availability, but Kewline depends on third-party platforms (Meta's APIs, cloud infrastructure) that we neither own nor control. We do not guarantee uninterrupted access to any channel. Outages on Meta's platforms affect message delivery regardless of our systems; we will monitor, report, and apply available workarounds. Planned maintenance will be scheduled to minimize disruption where possible.

6. Subscriptions, Billing, and Plans

  • Plans: Pricing is based on the published plan (seat counts, message volume, or feature tiers) shown at signup. Plan contents may be updated with advance notice to active Customers
  • Billing: Subscriptions renew automatically at the end of each billing cycle until cancelled. Fees are due in advance and processed through the payment providers shown at checkout
  • Cancellation: The Customer may cancel at any time. Access continues through the paid period; no prorated refunds are provided for mid-cycle cancellations or unused seats, except where required by law
  • Overdue accounts: Accounts with unresolved billing failures may be suspended after notice, and connected channels may be disconnected

7. Data and Privacy

The Customer's conversation data and customer contacts are processed on the Customer's behalf to provide the service, as described in the Kewline Privacy Policy. Kewline does not sell conversation data or use it for advertising. For customers of the Customer (its own end customers), the Customer remains the controller and is responsible for lawful collection, notices, and replies as required by applicable law.

8. Intellectual Property

  • Kewline's software, brand name, design, and documentation are owned by Kewsign LLC or its licensors and are protected by copyright and trademark law; they may not be copied, sublicensed, or used beyond the service without written consent
  • The Customer retains all rights to its own content, its connected channels, and its end customers' data
  • Use of WhatsApp, Facebook, and Instagram names, logos, and trademarks is subject to Meta's brand guidelines — nothing in Kewline grants any right to use Meta's trademarks except for factual product interoperability references (e.g., "Works with WhatsApp")

9. Confidentiality

Each Party will use reasonable care to protect the other's non-public information disclosed in connection with the service and to use it solely for the purposes of this agreement. This obligation does not apply to information that is public, already known, independently developed, or lawfully disclosed by a third party.

10. Term and Termination

  • By the Customer: The Customer may close its workspace or disconnect channels at any time
  • By Kewline: For causes described in Sections 4 and 6 (acceptable use / billing). We may also elect to discontinue the service, with at least 30 days' advance notice to workspace administrators
  • Effect of termination: On closure, we delete workspace and conversation data within 30 days, subject to the backup and accounting retention described in the Privacy Policy

11. Disclaimers and Liability

  • The service is provided "as is" with commercially reasonable efforts toward availability, and without warranty of uninterrupted operation or fitness for a particular business outcome
  • Neither Party is liable to the other for indirect, special, incidental, punitive, or consequential damages, or for lost revenue or data, arising out of the service
  • Each Party's aggregate liability under these Terms is limited to the subscription fees paid for the three (3) months immediately preceding the claim, except in cases of a Party's fraud, willful misconduct, or data protection obligations assumed in Section 7
  • The Customer is responsible for its own messaging and its own compliance with Meta's platform policies and applicable law

12. Governing Law

These Terms are governed by the laws of the State of Montana, USA, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Montana, unless the Customer's consumer-protection law in its own home jurisdiction overrides a portion of this clause. Nothing in these Terms affects statutory consumer rights that cannot be waived.

13. Changes to These Terms

We may update these Terms to reflect new features or legal requirements. Material changes to pricing rights, data handling, or acceptable use will be announced to workspace administrators at least 30 days before they take effect. Continued use of Kewline after the effective date constitutes acceptance.
